The Badia RE.NAISSANCE Curated Residency | June 15–21, 2026

IMPORTANT: By submitting an application, completing the Curator Interview, and/or remitting any payment, the Participant acknowledges that they have read, understood, and agree to be bound by these Terms & Conditions in their entirety.
1. Definitions & Interpretation
For the purposes of these Terms & Conditions, the following definitions shall apply:
- "The Partnership" refers to Arryn Inc., a Nevada corporation, acting as the organizer and operator of the Badia RE.NAISSANCE residency program.
- "Participant" or "You" refers to any individual who submits an application, completes a Curator Interview, or remits payment in connection with the Residency.
- "Residency" or "Event" refers to the Badia RE.NAISSANCE curated residency experience taking place June 15–21, 2026, at a private estate in Tuscany, Italy.
- "Curator Interview" refers to the AI-facilitated alignment assessment required of all applicants as part of the selection process.
- "Unified Track" refers to the proprietary single-arc program methodology wherein all Participants follow an identical schedule of activities, transmissions, and experiences.
- "Digital Sunset" refers to the prescribed protocol limiting the use of personal electronic devices during designated hours of the Residency.
- "Hard Close" refers to the final date by which all financial obligations must be satisfied and all positions finalized.
- "Venue" refers to the private estate and its surrounding grounds in Tuscany, Italy. The exact location shall be disclosed to confirmed Participants upon receipt of full payment.
2. Eligibility & Application
2.1. The Residency is open exclusively to individuals aged eighteen (18) years or older at the time of application. By submitting an application, the Participant represents and warrants that they meet this age requirement and possess the legal capacity to enter into binding agreements.
2.2. All applications are subject to a multi-stage evaluation process, including but not limited to the Curator Interview. Submission of an application does not guarantee acceptance. The Partnership retains sole and absolute discretion to accept or decline any applicant for any lawful reason, including the preservation of cohort integrity, intellectual balance, and the overall character of the Residency. The Partnership does not discriminate on the basis of race, ethnicity, religion, gender, sexual orientation, disability, or any other characteristic protected under applicable law.
2.3. The Participant agrees to provide accurate, truthful, and complete information throughout the application process. Any material misrepresentation, omission, or falsification may result in immediate disqualification or, if discovered post-acceptance, removal from the Residency without refund.
2.4. Acceptance is communicated via electronic correspondence to the email address provided during application. The Participant is solely responsible for monitoring said email address for communications from the Partnership.
3. The Selection & Residency Model
3.1. The Badia RE.NAISSANCE is a curated, invitation-only residency. It is not a public event, conference, or hospitality service. The Partnership exercises curatorial judgment in assembling each cohort.
3.2. Vetting Process. Acceptance is contingent upon successful completion of the Curator Interview. The Partnership evaluates applicants across three dimensions: Spiritual Readiness, Cultural Contribution, and Aesthetic Curiosity. The evaluation methodology and scoring criteria are proprietary and shall not be disclosed to applicants.
3.3. The Unified Track. Participants agree to adhere to the non-parallel program schedule in its entirety. The Unified Track is a core philosophical and experiential element of the Residency. Deviation from the collective rhythm, except in cases of documented medical necessity, is strictly prohibited and may result in removal from the program without refund.
3.4. Cohort Size. The Residency is limited to a maximum of thirty (30) Participants. This limitation is integral to the program design and the exclusive use of the Venue.
3.5. Non-Transferability. Acceptance into the Residency is personal to the Participant and may not be transferred, assigned, delegated, or sold to any third party without the prior written consent of the Partnership.
4. Financial Terms & Payment Obligations
4.1. Residency Fee. The total investment for the Residency is Ten Thousand United States Dollars (USD $10,000) per Participant. This fee encompasses accommodation at the Venue for the duration of the Residency, all meals and curated dining experiences, participation in all program sessions and transmissions, and access to the Venue grounds and amenities. The fee does not include international or domestic travel to and from Italy, travel or health insurance, personal incidental expenses, or any costs arising from early departure or program removal.
4.2. Payment Structure & Non-Refundable Nature. ALL PAYMENTS ARE FINAL, NON-REFUNDABLE, AND NON-TRANSFERABLE UNDER ANY AND ALL CIRCUMSTANCES, WITHOUT EXCEPTION. This includes, without limitation, cancellation by the Participant for any reason, failure to attend, early departure, removal from the program, dissatisfaction with the experience, change of personal circumstances, illness, travel disruption, or any other reason whatsoever. The remaining balance of the Residency Fee, if applicable, shall be due and payable in full no later than the Hard Close date of March 15, 2026. Failure to remit the full balance by the Hard Close date shall result in automatic forfeiture of the Participant's position and all payments previously made.
4.3. Payment Processing. All payments are processed through Airwallex, our authorized payment gateway. The Participant acknowledges that payment processing is subject to the terms and conditions of the payment processor. The Partnership is not liable for delays, errors, or failures attributable to the payment processor or the Participant's financial institution.
4.4. Currency. All fees are denominated in United States Dollars (USD). Any currency conversion fees, foreign transaction charges, or bank intermediary charges are the sole responsibility of the Participant.
4.5. Taxes. The Residency Fee is inclusive of Italian VAT where applicable. Arryn Inc. maintains its tax residency and corporate obligations in Nevada, USA. The Participant is solely responsible for any tax obligations arising in their country of residence in connection with their participation in the Residency.
5. No Refund Policy, Cancellation & Force Majeure
ALL PAYMENTS MADE IN CONNECTION WITH THE RESIDENCY ARE STRICTLY NON-REFUNDABLE, NON-TRANSFERABLE, AND NON-CREDITABLE UNDER ANY AND ALL CIRCUMSTANCES. BY MAKING A PAYMENT, THE PARTICIPANT IRREVOCABLY WAIVES ANY RIGHT, CLAIM, OR ENTITLEMENT TO A REFUND, WHETHER IN WHOLE OR IN PART.
5.1. Absolute No-Refund Policy. Due to the exclusive, curated nature of the Residency — including the 100% private buyout of the Venue, advance procurement of artisanal provisions, and the bespoke assembly of the cohort — the Partnership incurs substantial, irrecoverable costs upon acceptance of each Participant. Accordingly, no refunds, credits, chargebacks, or reimbursements of any kind shall be issued once any payment has been processed, regardless of the reason.
5.2. Chargebacks & Disputes. The Participant agrees not to initiate any chargeback, payment dispute, or reversal through their bank, credit card issuer, or payment provider. In the event that a chargeback or payment dispute is initiated, the Participant shall be liable for the full Residency Fee plus all costs incurred by the Partnership in responding to such dispute, including administrative fees, legal fees, and chargeback penalties.
5.3. Travel Insurance. The Partnership strongly and urgently advises all Participants to purchase comprehensive "Cancel for Any Reason" (CFAR) travel insurance that covers the full Residency Fee of $10,000 USD.
5.4. Partnership Modification or Cancellation. In the unlikely event that the Partnership cancels or materially modifies the Residency for reasons within its control, the Partnership shall, at its sole discretion, offer Participants the option of: (a) a credit of equivalent value toward a future Badia RE.NAISSANCE residency; or (b) such other remedy as the Partnership deems appropriate. Under no circumstances shall the Partnership be obligated to issue monetary refunds.
5.5. Force Majeure. Neither party shall be liable for failure or delay in performing its obligations where such failure or delay arises from circumstances beyond its reasonable control. In the event of a Force Majeure Event, the Partnership shall use commercially reasonable efforts to reschedule the Event within twelve (12) months. No monetary refunds shall be issued in connection with a Force Majeure Event.
5.6. Substitution. In the event of a Participant's cancellation, the Partnership may, at its sole discretion, offer the vacated position to an applicant on the waiting list.
6. Intellectual Property & Proprietary Content
6.1. Proprietary Methodology. The "Unified Track," "Triad of Mastery," "Digital Sunset" protocol, and all related program architectures are the exclusive intellectual property of Arryn Inc. and are protected under applicable copyright, trademark, and trade secret laws.
6.2. Restrictions on Use. Participants shall not, without the express prior written consent of the Partnership: (a) record sessions for commercial use; (b) reproduce program methodology; or (c) use the Partnership's trademarks or brand identity.
6.3. Personal Use. Participants may take personal notes and photographs during non-restricted periods for personal, non-commercial use only.
6.4. Website Content. All content on this website is the property of Arryn Inc. and is protected by applicable intellectual property laws.
7. Media Release & Image Rights
7.1. The Participant acknowledges and agrees that professional photography and videography will be captured throughout the Residency for the purposes of promotion and archival documentation.
7.2. By participating, the Participant grants Arryn Inc. a perpetual, irrevocable, worldwide, royalty-free license to use the Participant's name, likeness, and image in connection with the promotion of the Badia RE.NAISSANCE brand.
7.3. Opt-Out. Participants who do not wish to be featured in promotional materials must submit a written exclusion request no later than fourteen (14) days prior to the Residency.
8. Liability, Indemnification & Assumption of Risk
8.1. Assumption of Risk. The Participant acknowledges that international travel and residency programs involve inherent risks and voluntarily assumes all such risks.
8.2. Health Disclosure. The Participant is responsible for disclosing any medical conditions or dietary requirements.
8.3. Insurance Requirement. Participants are required to hold valid international health and travel insurance.
8.4. Limitation of Liability. To the maximum extent permitted by applicable law, Arryn Inc., its partners, and the Venue shall not be liable for any direct or indirect damages arising from the Residency.
8.5. Maximum Liability. In no event shall the Partnership's aggregate liability exceed the total amount of the Residency Fee actually paid by the Participant.
8.6. Indemnification. The Participant agrees to indemnify and hold harmless Arryn Inc. and the Venue from any claims arising from the Participant's breach of these Terms or misconduct.
9. The Unified Track Commitment
By accepting a position, the Participant commits to attend all scheduled transmissions, honor the 24-hour Noble Silence, embrace the "Digital Sunset," respect privacy, and maintain strict confidentiality.
10. Code of Conduct
10.1. The Participant agrees to conduct themselves with dignity and respect, abstaining from illegal substances and excessive intoxication, and respecting the property of the Venue.
10.2. Removal. The Partnership reserves the right to remove any Participant for violation of this Code without refund.
11. Confidentiality
Information shared during the Residency is shared in confidence. The Participant agrees not to disclose personal information or experiences of fellow Participants without consent. This obligation remains in effect indefinitely.
12. Visa, Travel & Immigration
12.1. The Participant is solely responsible for obtaining all necessary travel documents (Passport, ETIAS, Visa).
12.2. The Partnership does not provide visa sponsorship.
12.3. Failure to obtain documentation is not grounds for a refund.
13. Medical Disclaimer & Health
13.1. No Medical Services. The Residency does not provide medical or therapeutic services.
13.2. Physician Consultation. Participants are advised to consult their own providers before engaging in somatic practices.
13.3. Mandatory Health Disclosure. Failure to disclose material health information may result in removal from the Residency without refund.
14. Companions, Guests & Third Parties
No unauthorized persons may accompany the Participant to the Venue. Violation may result in immediate removal without refund.
15. Property Damage
The Participant shall be financially liable for any damage caused to the Venue and agrees to remit payment for repairs within thirty (30) days of an invoice.
16. Electronic Acceptance & Digital Consent
16.1. The Participant acknowledges that clicking "I Agree" or making a payment constitutes a legally binding electronic signature in accordance with the U.S. Electronic Signatures in Global and National Commerce Act (ESIGN), the Nevada Uniform Electronic Transactions Act (NRS Chapter 719), the EU eIDAS Regulation, and the Italian Digital Administration Code.
16.2. Physical signatures collected at the Residency serve as supplementary confirmation.
17. EU Consumer Rights
The Participant acknowledges that the Residency is a service with a specific date of performance and is exempt from the 14-day right of withdrawal under Article 16(l) of the EU Consumer Rights Directive and Article 59(1)(n) of the Italian Consumer Code.
18. Class Action & Collective Proceedings Waiver
To the maximum extent permitted by law, any dispute resolution will be conducted only on an individual basis and not in a class or representative action.
19. Limitation Period for Claims
Any claim must be commenced within twelve (12) months of the date on which the cause of action accrued, or it shall be permanently barred.
20. Governing Law & Dispute Resolution
20.1. These Terms & Conditions shall be governed by and construed in accordance with the laws of the State of Nevada, United States, without regard to its conflict of laws provisions.
20.2. Mediation. In the event of any dispute, the parties shall first attempt to resolve the matter through good-faith mediation conducted virtually or in Clark County, Nevada.
20.3. Jurisdiction. If mediation fails, any legal proceedings shall be brought exclusively before the state or federal courts located in Clark County, Nevada. The Participant irrevocably consents to the exclusive jurisdiction and venue of such courts.
20.4. Language. The English-language version shall prevail.
21. Severability
If any provision is held invalid, it shall be modified to the minimum extent necessary or severed, and the remaining provisions shall continue in full force.
22. Assignment & Third-Party Beneficiaries
22.1. Assignment. The Partnership may assign its rights and obligations without the Participant's consent.
22.2. No Third-Party Beneficiaries. Except for the Venue and staff, these Terms do not create third-party rights.
23. Notices
Formal notices shall be delivered by email to support@re-naissance.love or the Participant's provided email address.
24. Survival
Provisions regarding refunds, liability, intellectual property, and governing law shall survive the completion of the Residency.
25. Entire Agreement
These Terms & Conditions constitute the entire agreement between the Participant and Arryn Inc. No oral statements shall be binding unless reduced to writing.
26. Waiver of Rights
No failure by the Partnership to exercise any right shall operate as a waiver thereof.
27. Amendments
The Partnership reserves the right to update these Terms at any time. Continued participation constitutes acceptance of the revised Terms.
